Chapter 1 General Provisions
Article 1 (Purpose and Application)
These Terms of Service (the "Terms") set out the terms of use for the AI character conversation service "ToyTalk" (the "Service") provided by BridgeWell KK (the "Company") and the rights and obligations between the Company and all individuals or entities using the Service ("Users").
Article 2 (Definitions)
- Character: Any persona, name, settings, images, voice, and all other elements that a User creates, publishes, or shares on the Service.
- User Submitted Content: Any information that a User inputs, sends, uploads, or causes to be generated through the Service.
- Generated Content: Text, voice, images, settings, and other output automatically generated by the Service's AI features.
- AI Features: Features that perform conversation, generation, summarization, classification, safety review, or other processing based on User input or settings.
- Third-Party Rights: Copyrights, trademarks, design rights, portrait rights, publicity rights, privacy rights, and all other rights held by third parties.
- Paid Services: Paid features such as monthly subscriptions or usage-based billing that may be introduced in the future. Timing and details are not yet determined.
Chapter 2 Use Agreement
Article 3 (Eligibility)
- Persons under the age of 13 may not use the Service.
- Persons under the age of 18 must use the Service with parental or guardian consent.
- Users represent and warrant that they are not, and will not become, antisocial forces.
Article 4 (Registration)
- Users must register truthful and up-to-date information, such as name, email address, telephone number, date of birth, and password, in the manner specified by the Company.
- The Company may reject a registration application if the applicant may violate these Terms or if the Company otherwise determines that the registration is inappropriate.
Article 5 (Account Management)
Users are responsible for managing their account information and may not transfer, lend, or share it with any third party.
Chapter 3 Service Details
Article 6 (Provision of the Service)
- Users can interact with AI characters by text or voice.
- Generated Content is created automatically by AI and may include information that is inaccurate, outdated, or requires consideration of third-party rights or interests.
- Users are responsible for checking the accuracy, legality, and appropriateness of Generated Content before using, publishing, or sharing it.
- The Service is not a substitute for professional judgment in medical, legal, financial, or other specialized matters. Please consult a qualified professional when making important decisions.
- Avoiding personal information input: Users should avoid entering sensitive personal information, such as names, addresses, telephone numbers, credit card numbers, or health information, in chats.
- Advertising: The Service may display third-party advertisements. The Company does not guarantee the content of advertisements or the safety of linked destinations.
- Paid Services (undetermined): Fees and conditions will be announced separately when paid services are introduced.
Chapter 4 Prohibited Conduct
Article 7 (Prohibited Conduct)
Users must not use the Service or AI Features for illegal activity, child sexual exploitation, sexual, violent, or discriminatory expression, harassment, encouragement of self-harm, fraud, impersonation, improper political manipulation, infringement of third-party rights, privacy violations, bypassing safety features, spam, or any other purpose that the Company determines to be inappropriate.
Chapter 5 User Submitted Content
Article 8 (Ownership)
- Rights in User Submitted Content remain with the User or the rightful owner.
- Rights in Generated Content that are legally available to the User belong to the User. However, the same or similar Generated Content may be generated for other users.
- The Company may use User Submitted Content to the extent necessary to provide, maintain, improve, and keep the Service safe, prevent misuse, and comply with laws.
Article 9 (Representations and Warranties)
Users warrant that their submitted content does not infringe Third-Party Rights and does not violate laws or these Terms.
Article 10 (Indemnification)
Users will indemnify the Company for damages incurred by the Company due to disputes with third parties.
Article 11 (Reports, Deletion, and Suspension)
If the Company suspects a violation of laws or these Terms, the Company may delete content or suspend or terminate an account without prior notice to the User. Users may file objections through the procedures specified by the Company.
Chapter 6 Data Handling
Article 12 (Data Retention and Monitoring)
- The Company may process User input, Generated Content, voice, and other usage data to the extent necessary to provide AI Features, keep the Service safe, prevent misuse, improve quality, and comply with laws.
- Chat log retention and deletion: When a User deletes conversation history in the app, the data is kept in the system for 30 days and then permanently deleted. Unless deleted by the User, conversation history remains viewable in the app.
- The Company's operations team may view and analyze chat content to the minimum extent necessary for quality improvement and safety.
- Personal information is handled in accordance with the Company's Privacy Policy.
Chapter 7 Changes to and Termination of the Service
Article 13 (Changes and Suspension)
The Company may, at its reasonable discretion, change, suspend, or terminate all or part of the Service without prior notice.
Article 14 (Suspension and Termination of Use)
If a User violates these Terms, the Company may suspend the account or terminate the agreement without prior notice.
Chapter 8 Disclaimers and Limitation of Liability
Article 15 (Disclaimer)
The Company does not warrant that Generated Content is accurate, complete, up to date, useful, fit for a particular purpose, or non-infringing.
Article 16 (Exclusion of Indirect Damages)
The Company is not liable for lost profits, indirect damages, or similar damages.
Chapter 9 Miscellaneous
Article 17 (No Assignment)
Users may not assign their status, rights, or obligations under these Terms to a third party without the Company's written consent.
Article 18 (Severability)
Even if part of these Terms is invalid, the remaining provisions remain valid.
Article 19 (Governing Law and Jurisdiction)
These Terms are governed by the laws of Japan, and the Tokyo District Court has exclusive jurisdiction as the court of first instance.
Article 20 (Changes to the Terms)
When changing these Terms, the Company will post the changes on its website or by another appropriate method, and the changes will take effect 14 days later.
